Terms and Conditions

These Terms and Conditions (the “Terms”) are a legal agreement between you and Ahmed Wael, sole proprietor, trading as The Global Assistant (TGAGlobal) (“we”, “us”, “our”), and govern your access to and use of The Global Assistant, the website at www.theglobalassistant.click and all related software and services (together, the “Service”). By creating an account, starting a trial or purchasing a subscription you accept these Terms. If you are using the Service on behalf of an organisation, you confirm you are authorised to bind that organisation, and “you” means that organisation.

1. What the Service is

The Global Assistant is a business-to-business web application for Microsoft 365 administrators. It lets you run a catalogue of pre-written, verified PowerShell automations — reports and administrative actions — against your own Microsoft 365 tenant from a web form, without writing or seeing the underlying scripts. Automations execute on our infrastructure using the permissions your tenant administrator grants during onboarding, and every run is recorded with its inputs, status and output.

The Service is delivered entirely online as software as a service. There is no physical product, no shipping and no download. You receive nothing tangible: what you buy is time-limited access to the Service at the plan level you select.

2. Plans, features and pricing

Current plans, their feature limits and their prices are listed in full on our pricing page, which is publicly accessible without an account. In summary: a Free plan at no charge with a capped monthly run allowance and read-only automations; and paid plans (Pro, Max and TGA Ultimate) that unlock progressively more capability, more seats and higher run allowances. Additional seats are available on all plans as a priced add-on.

Prices are listed in US dollars, with local-currency prices shown for some countries. The price you see at checkout is the price you pay. Value added tax, goods and services tax or sales tax is calculated and added at checkout by our Merchant of Record based on your billing location, and is shown to you before you confirm the order.

3. Free trial, billing cycle and automatic renewal

Paid plans begin with a 7-day free trial. You will not be charged during the trial and you may cancel at any point within it. If you do not cancel before the trial ends, the subscription starts automatically and the first billing period is charged to the payment method you provided.

Subscriptions are sold on a monthly or annual cycle, as chosen at checkout, and renew automatically at the then-current price at the end of each cycle until you cancel. Annual plans are charged as a single up-front payment covering twelve months. Monthly run allowances reset at the start of each billing month and unused allowance does not carry over. We may change prices on no less than 30 days’ notice by email; a change takes effect from your next renewal, and you may cancel before then if you do not accept it.

4. Access provisioning and delivery

Access is provisioned automatically and immediately once payment is confirmed — typically within seconds. Your plan level is applied to your account without any further action by you. If access has not been applied within one hour of a successful payment, email info@theglobalassistant.click and we will resolve it or arrange a refund.

5. Payments and our Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

This means Paddle.com Market Ltd sells the subscription to you, issues your invoice, collects payment and is responsible for the applicable taxes. Paddle’s Buyer Terms and Privacy Notice apply to your purchase in addition to these Terms. We never see or store your full card details. You can manage your subscription, update your payment method and download invoices at any time from the billing portal in the app, or via paddle.net.

6. Cancellation and refunds

You may cancel at any time from Settings → Billing → Manage subscription in the app, or by emailing us. Cancellation stops future renewals; your plan remains active until the end of the period you have already paid for. Our full refund terms, including the 14-day money-back window, are set out in the Refund and Cancellation Policy, which forms part of these Terms.

7. Accounts and eligibility

You sign in with a Microsoft work or school account. You must be an administrator of the Microsoft 365 tenant you connect, or be added as a seat by that tenant’s account owner. The Service is offered to businesses and professional users only. It is not intended for consumers and is not available to anyone under 18. You are responsible for keeping your account credentials secure and for all activity under your account.

8. Your responsibilities and acceptable use

You are responsible for every automation run from your account. Some automations change or delete data in your tenant. Each is labelled with its risk level, and destructive automations default to a preview mode. Review your inputs before running, keep your own backups, and make sure you have authority within your organisation to make the changes you request.

You must not:

  • use the Service against a Microsoft 365 tenant you are not authorised to administer;
  • attempt to extract, copy, resell, reverse-engineer or otherwise obtain the source of the script catalogue, or use the Service to build a competing product;
  • share a single seat between people, or circumvent plan limits, run allowances or concurrency caps;
  • probe, overload or interfere with the Service or its infrastructure, or attempt to gain unauthorised access to any part of it or to another customer’s data;
  • use the Service unlawfully, to infringe anyone’s rights, or in breach of Microsoft 365 terms or your own organisation’s policies.

We may throttle, suspend or terminate accounts that breach this section. Fair-use run allowances exist to prevent abuse; if your usage is materially out of line with normal use of your plan we will contact you before taking any action.

9. Access to your Microsoft 365 tenant

During onboarding a Global Administrator grants our application specific, scoped permissions in your tenant. We use those permissions only to run the automations you request and to verify the connection. The connection uses certificate-based application authentication; we never ask for, receive or store your Microsoft password. You may revoke our application at any time from Microsoft Entra ID, which immediately ends all further access and stops all runs.

10. Your data and intellectual property

You retain all rights to data from your Microsoft 365 tenant. We process it only to provide the Service, as described in our Privacy Notice. We retain all rights in the Service itself, including the script catalogue, the application and our trademarks; these Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription and nothing more.

11. Availability and changes to the Service

We aim to keep the Service available at all times but do not guarantee uninterrupted operation, and we do not currently offer a contractual uptime guarantee. The Service depends on Microsoft 365 services and APIs that we do not control, and on scheduled maintenance. We may add, change or retire individual automations and features; where a change materially reduces what your plan includes, we will notify you in advance and you may cancel and request a pro-rata refund of the unused prepaid period.

12. Disclaimer and limitation of liability

The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law we exclude all implied warranties, including fitness for a particular purpose and non-infringement. We are not liable for indirect, incidental or consequential loss, loss of data, loss of profit or business interruption, or for changes made in your tenant as a result of automations you chose to run. Our total aggregate liability for any claim is limited to the fees you paid for the Service in the twelve months before the claim arose. Nothing in these Terms excludes or limits liability for fraud, for death or personal injury caused by negligence, or any other liability that cannot lawfully be limited.

13. Suspension and termination

We may suspend or terminate your account if you materially breach these Terms, if payment fails and is not resolved, if required by law, or if your use threatens the security or stability of the Service or other customers. Where practical we will give notice and a chance to fix the problem first. You may close your account at any time from Settings or by emailing us; we will delete your data as described in the Privacy Notice. Sections 10, 12 and 15 survive termination.

14. Compliance and sanctions

You confirm that you are not located in, and are not ordinarily resident in, a country or territory subject to comprehensive trade sanctions, and that you are not on any applicable restricted-party list. You will comply with all applicable export control and sanctions laws in your use of the Service.

15. Governing law and disputes

These Terms are governed by the laws of the Arab Republic of Egypt, and the courts of Egypt have jurisdiction over any dispute, without prejudice to any mandatory rights you have under the law of your own country. Before starting formal proceedings, please contact us at info@theglobalassistant.click so we can try to resolve the matter directly.

16. General

These Terms, together with the Privacy Notice and the Refund and Cancellation Policy, are the entire agreement between us. If any provision is found unenforceable, the remainder continues in effect. You may not assign this agreement without our consent; we may assign it as part of a sale or reorganisation of the business, on notice to you. We may update these Terms; the “last updated” date above changes when we do, we will notify active subscribers of material changes by email, and continued use after the effective date means you accept the update.
